McCormick plans four divisions after Unilever Foods deal

The company will organize its operations into Americas Consumer, International Consumer, Global Food Service and Global Flavor.

HUNT VALLEY, Md. — McCormick & Co. has unveiled the planned operating structure and executive leadership team for the company that will result from its proposed combination with Unilever’s Foods business.

The transaction is expected to close by mid-2027, subject to customary conditions. Following the closing, McCormick will organize the combined business into four commercial divisions: Americas Consumer, International Consumer, Global Food Service and Global Flavor.

“Our planned operating model is designed to place consumers and customers at the center of the combined business, enabling disciplined execution, enhanced innovation and sustainable long-term growth, while supporting a rewarding employee experience,” said Brendan Foley, chairman, president and chief executive officer of McCormick.

The company’s consumer operations, including retail sales of herbs, spices, seasonings, cooking aids, condiments and sauces, will be divided geographically. Americas Consumer will encompass North, Central and South America, with approximately $8 billion in combined 2025 annual sales. International Consumer will include the EMEA and APAC regions, representing approximately $7 billion in combined annual sales.

Global Food Service will have approximately $4 billion in 2025 annual sales. The division will combine Unilever Foods’ back-of-house and chef-focused capabilities with McCormick’s experience in front-of-house branded products.

Global Flavor, with approximately $2.5 billion in 2025 annual sales, will supply customized specialty flavors, seasonings, condiments and coatings to food, beverage and consumer health companies, as well as restaurant chains. McCormick said the division will connect customer needs, consumer insights and technical expertise across international markets.

Foley will continue to serve as chairman, president and CEO of McCormick following the transaction. Marcos Gabriel will remain executive vice president and chief financial officer.

Andrew Foust is expected to become executive vice president and president of Americas Consumer. Heiko Schipper will lead International Consumer, Nuria Hernandez will oversee Global Food Service and Suzanne Roy will head Global Flavor.

The combined executive team will also include Tabata Gomez as executive vice president, chief growth and global marketing officer; Jennifer Han as executive vice president and chief supply chain officer; Guy Peri as executive vice president and chief information and digital officer; Sarah Piper as executive vice president and chief human resources officer; Jeff Schwartz as executive vice president and chief legal officer; and Heike Steiling as executive vice president and chief research and development officer.

Executives will be based at McCormick’s global headquarters in Hunt Valley and its planned international headquarters in the Netherlands.

The company’s Integration Management Office will remain in place after the transaction closes. A dedicated senior leadership team will oversee integration goals, synergy realization and the creation of a unified organizational culture. The office will also manage the company’s exit from transition services agreements, which are generally expected to remain in effect for up to 24 months after closing.

McCormick plans to provide additional information about anticipated revenue and cost synergies by the end of the third quarter.

The company also intends to seek a secondary listing on the London Stock Exchange when the transaction closes. McCormick said the European listing is expected to improve access to capital and enhance liquidity while reflecting the international nature of the combined company and Unilever’s existing shareholder base.

McCormick will retain its primary listing on the New York Stock Exchange and keep its global headquarters in Hunt Valley. The company will maintain a substantial presence in the Netherlands, including Unilever Foods’ research and development operations.
